1. About these terms
These terms of service (the “Terms”) are an agreement between HarakahTec (حركة تك), based in Riyadh, Saudi Arabia (“HarakahTec”, “we”, “us”), and the business that registers to use our service (the “Customer”, “you”). They cover the HarakahTec back office, the point-of-sale app and everything that comes with them (together, the “Service”).
By completing registration and accepting these Terms, you agree to them on behalf of your business and confirm that you are authorised to do so. If you do not agree, do not register or use the Service.
Our privacy policy explains how we handle personal data and forms part of these Terms.
2. Definitions
- “Service”: HarakahTec’s cloud software for running a shop, including point of sale, stock, purchasing, accounting, payroll, reports and e-invoicing, and any updates to them.
- “Customer data”: the information you and your staff enter into the Service or that the Service produces for you, such as products, prices, sales, invoices, customers, suppliers and employee records.
- “Authorised user”: a person you create an account for, such as an owner, manager or cashier.
- “Subscription”: the plan you choose, with its price, billing period and limits on business units and branches.
3. Registration and your account
- The information you give when you register must be accurate, complete and current, including your commercial registration, VAT registration and national address, and you must keep it up to date.
- We review registrations before activating them. We may ask for more documents, and we may decline a registration, for example if its documents cannot be verified.
- You are responsible for your authorised users: who has an account, which permissions they hold, and everything done with their credentials.
- Keep passwords and authenticator codes confidential, and tell us promptly at support@harakahtec.com if you believe an account has been misused.
4. Subscriptions, fees and payment
- The Service is provided on the plan you choose. The plan sets the price, the billing period and how many business units and branches you may use. Extra business units or branches can be added at the price stated for your plan.
- We issue tax invoices for subscription fees, including value added tax where it applies.
- Your account is activated once your registration is approved and the first invoice is paid.
- A subscription renews for the next period when its renewal invoice is paid. If an invoice is not paid by its due date, we may limit or suspend access after notifying you.
- We may change our prices. A change applies from your next billing period, and we will tell you in advance.
- Fees already paid are not refundable, except where these Terms or the law provide otherwise, or where we agree in writing.
5. Using the Service
We grant you a limited, non-exclusive, non-transferable right to use the Service for your own business during your subscription. You must not:
- copy, modify, resell, rent or sublicense the Service, or give access to anyone outside your business;
- try to reverse engineer it, get around its security or access controls, or reach data that is not yours;
- use it for anything unlawful, including tax evasion or dealing in prohibited goods;
- overload, disrupt or attack the Service or the networks it runs on;
- use it to build a competing product.
6. Your responsibilities
- You are responsible for the accuracy of what you enter: prices, tax settings, stock, and customer and employee details.
- You remain responsible for your own legal obligations, including those to the Zakat, Tax and Customs Authority. The Service helps you produce compliant invoices and reports, but it does not replace your own review or professional advice.
- You provide suitable devices, printers and an internet connection. The point-of-sale app can keep selling through a short loss of connection and sends the waiting sales when the connection returns.
- You make sure you have a lawful basis for entering personal data about your customers and employees into the Service.
7. Your data
- Customer data belongs to you. You allow us to host, process and back it up only to provide and support the Service, as our privacy policy describes.
- You can export your records from the Service while your subscription is active.
- We take regular backups to protect against loss. Backups exist to restore the Service; they do not replace the records the law requires you to keep yourself.
8. Availability, updates and support
- We work to keep the Service available at all times, but we do not promise uninterrupted operation. Planned maintenance, updates, failures at third-party providers, attacks and events outside our control can cause interruptions.
- We improve the Service continually and may add, change or retire features. If we remove something essential to the plan you pay for, we will tell you in advance.
- Support is provided remotely, by email and through the channels on our website, during the hours shown on our support page.
9. Ending the subscription
- You can end your subscription at any time by telling us in writing. Access continues until the end of the period already paid for.
- We may suspend or end your access if you breach these Terms, do not pay, or use the Service unlawfully. Except in serious cases, we will tell you first and give you a chance to put things right.
- After a subscription ends, we keep its customer data for 30 days so that you can ask for a copy, and then delete it, except for records the law requires us to keep.
10. Intellectual property
The Service, its software, design and content belong to HarakahTec or its licensors. These Terms give you a right to use the Service, not ownership of it. If you send us suggestions, we may use them without any obligation to you.
11. Warranties and liability
- The Service is provided as it is and as available. To the extent the law allows, we give no warranties beyond those in these Terms.
- We are not liable for indirect or consequential losses, such as lost profits, revenue or goodwill, or for loss of data caused by your own actions.
- Our total liability for any claim relating to the Service is limited to the subscription fees you paid in the twelve months before the event that gave rise to it.
- Nothing in these Terms limits liability that cannot be limited under the laws of the Kingdom of Saudi Arabia.
12. Indemnity
You agree to compensate HarakahTec for claims, losses and costs arising from your breach of these Terms, from unlawful use of the Service by you or your authorised users, or from data you entered without the right to do so.
13. Changes to these Terms
We may update these Terms. We will publish the new version on this page with its date and tell you by email or in the Service at least 14 days before a material change takes effect. If you keep using the Service after that, you accept the updated Terms; if you do not accept them, you can end your subscription before they take effect.
14. Governing law and disputes
These Terms are governed by the laws of the Kingdom of Saudi Arabia. We will first try to settle any dispute amicably within 30 days of written notice. If that fails, the competent courts in Riyadh have jurisdiction.
15. Language
These Terms are published in Arabic and English. If the two differ, the Arabic version governs.
